These Terms of Service ("Terms") are a binding agreement between Codezilla and the business that signs up for, accesses, or uses the Codezilla platform ("Tenant", "you", "your"). Please read them carefully. By creating an account or using the service you confirm that you have read, understood, and accepted these Terms.
If you do not agree with any part of these Terms, do not use Codezilla.
1. Acceptance of these Terms
You accept these Terms when any of the following happens first:
- you click "I agree" or a similar button during sign-up,
- you pay your first invoice, or
- you connect a WhatsApp or Instagram account to Codezilla.
If you are signing up on behalf of a company, you confirm that you are authorised to bind that company. In that case "you" means the company.
We may publish a separate Acceptable Use Policy ("AUP"), Data Processing Agreement ("DPA"), and Privacy Policy. Those documents are part of these Terms by reference, and you accept them when you accept these Terms.
2. Eligibility
To use Codezilla you must:
- be a legally registered business, freelancer, or sole proprietor operating in Egypt or another jurisdiction we serve;
- be at least 18 years old;
- have the legal authority to enter contracts on behalf of the business you represent;
- own, or be formally authorised to manage, the WhatsApp number(s) and Instagram account(s) you connect to Codezilla; and
- not be barred from using the Meta WhatsApp Business Platform or Instagram Messaging API under their own terms.
Codezilla is a business-to-business (B2B) service. It is not intended for personal, household, or consumer use. If we discover that an account is personal or that the eligibility statements above are untrue, we may suspend or close the account.
3. Services we provide
Codezilla is an AI-powered customer-conversation platform. When you connect your WhatsApp Business number or Instagram account, Codezilla can:
- receive messages from your customers on your behalf;
- generate AI replies trained on your business knowledge base (menus, prices, opening hours, FAQs, etc.);
- send those replies under your brand identity;
- escalate to a human agent (you or your staff) when a conversation needs human judgement;
- store conversation history, generate analytics (sentiment, topics, lead scoring), and produce daily summaries;
- integrate with CRMs, calendars, and other tools as we add them.
We currently support eleven verticals out of the box — restaurants, delivery services, hotels, clinics, salons, gyms, real estate, marketing agencies, legal practices, retail, and schools — but Codezilla can be configured for other small-business use cases.
We use the Baileys WhatsApp library for early-stage tenants. Paid tenants on the Growth and Beast tiers will be migrated to the Meta Cloud WhatsApp Business API in line with Meta's policy effective January 2026. The Instagram integration uses the official Instagram Messaging API.
We continuously improve the service. Features may be added, modified, or removed. We will give you reasonable notice of material changes that affect how you use Codezilla day-to-day.
4. Tenant responsibilities
You are responsible for everything that happens under your account. Specifically:
a. Your number, your account. You must own or be formally authorised to manage every WhatsApp number and Instagram account you connect. You must not use Codezilla to manage messaging accounts that do not belong to you.
b. Account security. Keep your Codezilla login credentials, API keys, and session secrets confidential. Notify us at [email protected] immediately if you suspect unauthorised access.
c. Content compliance. All messages sent through Codezilla, whether generated by AI or written by your staff, must comply with:
- Egyptian law (including consumer protection, advertising, telecommunications, and data privacy regulations such as Law No. 151 of 2020);
- the WhatsApp Business Messaging Policy and Meta Commerce Policies;
- the Instagram Community Guidelines and Instagram Platform Terms;
- any sector-specific regulations that apply to your business (for example, the Egyptian Drug Authority rules for clinics and pharmacies, or Central Bank of Egypt rules for financial services).
d. No spam, no abuse. You must not use Codezilla to:
- send unsolicited bulk messages or marketing without prior consent;
- impersonate any person or business other than your own;
- send content that is illegal, defamatory, harassing, fraudulent, hateful, or sexually explicit;
- circumvent rate limits, anti-spam controls, or platform safety mechanisms;
- run political campaigning or election-related outreach without our prior written consent.
e. End-customer privacy. The people who message you on WhatsApp or Instagram are your customers, and you are the data controller of their personal data. You must:
- have a lawful basis to process their data;
- maintain your own privacy policy;
- honour their requests to delete or export their data; and
- respond to them in a manner consistent with the trust they place in your brand.
We act as a data processor on your behalf. The details are in our DPA.
f. Accuracy of business information. The knowledge base, pricing, menus, schedules, and other business details you upload must be accurate. If you publish a wrong price or a wrong opening time, the AI will repeat it.
5. Acceptable use
You agree to be bound by the Codezilla Acceptable Use Policy (AUP), which is a separate document published at codezillaeg.com/legal/aup. The AUP lists prohibited content, prohibited industries, prohibited messaging behaviours, and the enforcement steps we take (warning, throttling, suspension, termination).
If there is a conflict between the AUP and these Terms, the AUP controls for matters of acceptable use.
We may suspend or terminate your account immediately, without refund, if you breach the AUP in a way that puts our platform, our other tenants, or the end-customers at risk.
6. AI replies: limitations and human takeover
Codezilla uses large language models (LLMs) to generate replies. You should understand the limits of this technology before relying on it:
a. AI replies can be wrong. LLMs can hallucinate, misread context, give outdated information, or generate culturally inappropriate phrasing. Codezilla takes engineering steps to reduce these errors — retrieval-augmented generation against your knowledge base, confidence scoring, safety filters, Egyptian Arabic tuning — but we do not guarantee that every reply is accurate, complete, suitable, or free of errors.
b. You retain liability. Every message sent from your WhatsApp or Instagram account is sent under your brand name, even when generated by AI. You remain legally responsible to your customers for those messages. If the AI quotes a wrong price, promises a service you cannot deliver, or makes a statement that misleads a customer, the legal and commercial consequences rest with you.
c. Human takeover. Codezilla offers a "human takeover" feature that pauses AI replies and routes the conversation to a human agent. We strongly recommend that you:
- enable human takeover for high-stakes conversations (legal advice, medical advice, refunds above a threshold you set, complaints, complex bookings);
- monitor the agent dashboard during business hours;
- review the daily digest we email you and intervene on flagged conversations.
d. Disclaimer to your customers. Where the law or platform policy requires you to disclose that an AI is involved (for example, certain consumer-protection contexts), it is your responsibility to make that disclosure. We provide a configurable disclaimer template you may use.
e. No professional advice. The AI is a customer-service assistant. It is not a substitute for medical, legal, financial, or other professional advice. You must not configure Codezilla to give professional advice in regulated fields without appropriate human review.
7. Billing
a. Subscription tiers and pricing. Current pricing is published at codezillaeg.com/pricing. As of the effective date of these Terms, the plans are:
- Starter — 299 EGP per month, includes approximately 2,000 conversations.
- Growth — 999 EGP per month, higher conversation cap and additional features.
- Beast — 2,999 EGP per month and above, custom configurations and priority support.
All amounts are in Egyptian Pounds (EGP). VAT and any applicable Egyptian taxes will be added where required.
b. Conversation count. A "conversation" is a 24-hour rolling messaging window with a single end-customer on a single channel, in line with the way WhatsApp and Instagram count messaging sessions. If you exceed the cap on your tier, we will either auto-upgrade you (with notice), bill overage at a published per-conversation rate, or throttle non-essential AI replies, depending on the setting you choose in your account.
c. Payment rails. We accept payment through Egyptian payment rails including Paymob, Fawry, Vodafone Cash, and InstaPay, and may add additional providers from time to time. You authorise the provider you choose to charge the recurring monthly amount.
d. Late payment. If a payment fails, we will retry up to three times over five business days, then suspend AI replies on your account. You will keep read-only access to your data for thirty (30) days, after which the account may be closed and data deleted in line with our retention policy.
e. Price changes. We may change subscription prices with at least 30 days' written notice (email is sufficient). If you do not agree with the new price you may cancel before it takes effect.
8. Refunds
We want you to be confident in your purchase, but we also operate a low-margin SMB service.
- First paid month: if you cancel within 7 days of your first paid invoice and you have not exceeded the Starter conversation cap, we will refund that invoice in full.
- Mid-month cancellation: if you cancel after the 7-day window, we will refund the pro-rated unused portion of the current month, calculated by day, less any overage fees already incurred.
- Annual prepayments (if you have one): refunded pro-rata for full unused months.
- No refund is given for suspensions or terminations caused by your breach of these Terms or the AUP.
Refunds are returned to the original payment method where the provider supports it. Where the provider does not (for example, some cash-rail providers), we will issue a credit balance against your account or transfer to a bank account you specify.
9. ETA e-invoicing
Egyptian tax law requires that paid invoices be issued as ETA-compliant electronic invoices through the Egyptian Tax Authority e-invoicing system. For every paid invoice, we will:
- issue an ETA-compliant XML e-invoice;
- email the PDF and a link to the ETA portal record to your billing contact; and
- make all historical invoices available for download in your Codezilla dashboard.
To enable this, you must provide accurate tax information at sign-up: registered legal name, tax registration number, commercial registry number, registered address, and an authorised billing email. If your information changes, update it before your next invoice cycle. We are not responsible for tax-deduction problems caused by incorrect information you supplied.
10. Term and termination
a. Term. These Terms begin when you accept them and continue for as long as you have an active account.
b. Termination by you. You may cancel your subscription at any time from the Billing page in your dashboard, or by emailing [email protected]. Cancellation takes effect at the end of the current billing month unless you request immediate cancellation (in which case clause 8 governs the refund).
c. Termination by us, for cause. We may suspend or terminate your account immediately if:
- you materially breach these Terms or the AUP;
- you fail to pay an invoice and remain in arrears after our retry window;
- WhatsApp, Meta, Instagram, or an Egyptian authority requires us to disconnect your account;
- your use of the service poses a security, legal, or reputational risk to us or our other tenants.
For non-urgent breaches we will give you at least 7 days' written notice and a chance to fix the issue before we terminate.
d. Termination for convenience. We may also terminate the service with 60 days' written notice if we decide to stop offering Codezilla in your market. In that case we will refund any unused prepaid amounts in full.
e. Effect of termination. When the account closes, AI replies stop. We will retain your data in read-only form for 30 days so you can export conversations, contacts, and analytics. After 30 days the data is deleted in line with the Privacy Policy and DPA, except where Egyptian law requires us to keep records longer (for example, tax records).
11. WhatsApp and Instagram platform changes
Codezilla depends on third-party platforms (Meta WhatsApp Business Platform, Instagram Messaging API, and the Baileys community library). These platforms change their policies, fees, technical interfaces, and category models from time to time, and they can do so on short notice.
You acknowledge that:
- We may need to migrate your connected channels from Baileys to the Meta Cloud API, or from one Meta product to another, to remain compliant. We will give you reasonable notice and walk you through the steps.
- Meta charges per-conversation fees for certain message categories (utility, marketing, authentication, service). Where these fees apply to you, they will be passed through transparently and shown on your invoice.
- Outages, throttling, or policy enforcement by Meta or Instagram are outside our control.
- A Meta or Instagram suspension of your business account is not our responsibility, although we will help you understand the reason and reapply where possible.
12. Limitation of liability
To the maximum extent permitted by Egyptian law:
- Codezilla provides the service "as is" and "as available". We do not warrant that the service will be uninterrupted, error-free, secure against every possible threat, or fit for any particular purpose beyond what is described in our published documentation.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost customers, lost goodwill, or business interruption.
- Our total aggregate liability to you for all claims arising out of or relating to these Terms, the service, or your use of it, in any twelve-month period, is capped at the amount you actually paid to us during the twelve months immediately preceding the event giving rise to the claim.
- Nothing in these Terms limits liability that cannot be limited under Egyptian law (for example, liability for gross negligence or wilful misconduct, where applicable).
13. Indemnification
You agree to defend, indemnify, and hold harmless Codezilla, its officers, employees, and contractors, from and against any claim, demand, fine, loss, or expense (including reasonable legal fees) arising out of:
- the content of messages you (or the AI acting on your behalf) sent through Codezilla;
- your breach of these Terms, the AUP, or any law;
- your use of customer data in violation of applicable privacy laws;
- any infringement of third-party intellectual-property or publicity rights by content you uploaded or generated;
- any dispute between you and an end-customer about a transaction, promise, or representation made through Codezilla.
We will tell you promptly about any claim we receive, let you take over the defence if you wish (using counsel reasonably acceptable to us), and cooperate at your expense.
14. Service level
We target 99.5% monthly uptime for the core platform on a best-effort basis, measured at our edge. This is a target, not a guarantee. Planned maintenance, force majeure events, and outages caused by upstream providers (Meta, Instagram, telecom carriers, cloud providers, payment rails) are excluded from this calculation.
If you are on the Beast tier and the monthly availability we measured falls below 99.5%, you may request a service credit of 5% of that month's fee by emailing [email protected] within 30 days of the affected month. Credits are applied to a future invoice; they are not refunded in cash.
We do not offer SLA credits on the Starter or Growth tiers.
15. Modifications to these Terms
We may update these Terms from time to time. When we make a material change we will:
- post the new version at codezillaeg.com/legal/terms;
- email your account's billing contact at least 30 days before the new version takes effect; and
- show an in-product notice on your dashboard.
If you keep using Codezilla after the new version takes effect, you accept it. If you do not accept it, cancel your subscription before the effective date and clause 8 will govern your refund.
Non-material changes (typographic fixes, clarifications, contact updates) may be made at any time without notice.
16. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-laws principles.
Any dispute, controversy, or claim arising out of or relating to these Terms — including its formation, interpretation, breach, or termination — shall first be addressed by good-faith negotiation between the parties for at least 30 days. If the dispute is not resolved within that period, it shall be submitted to the competent commercial courts of Cairo, Egypt, and you and we both consent to the exclusive jurisdiction of those courts.
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from any court of competent jurisdiction to protect intellectual property, confidential information, or platform security.
17. General provisions
a. Entire agreement. These Terms, together with the AUP, DPA, Privacy Policy, and any order form or written agreement we sign with you, are the entire agreement between us about Codezilla, and supersede any prior discussions.
b. Severability. If any clause is held unenforceable, the rest of the Terms remain in effect.
c. No waiver. Our failure to enforce a right is not a waiver of that right.
d. Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets.
e. Notices. Notices to you will be sent to the email address on your billing account. Notices to us must be sent to [email protected].
f. Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control — war, civil unrest, government action, natural disaster, internet or carrier outage, pandemic, or third-party platform failure.
g. Language. These Terms are written in English. We may provide an Arabic translation for convenience. In the event of a conflict, the English version controls unless Egyptian law requires otherwise, in which case the Arabic version controls only to the extent required.
